Elena Robles


Elena Robles joined Cuesta Campos in 2007. She has extensive experience assisting foreign companies launching their business in a wide range of industries in Mexico, such as software, health, pharmaceutical, electronic, automotive, agricultural, IT and telecommunication solutions. Furthermore, she represents investors who focus on investing in companies in these industries or in incorporating joint ventures in Mexico. Her practice comprises corporate formation and entity selection, corporate governance, shareholders agreements, as well as assisting clients with development of legal structure and funding strategy, mergers and acquisitions, corporate reorganizations and restructuring including divisional purchases and sales. As well as compliance and administrative law.

Ms. Robles professional experience has made her highly knowledgeable in structuring and advising on all tax aspects of the purchase and sale transactions, and has wide experience in advising clients in complex international cross border transactions including international and business matters.

With more than 10 years of experience managing and advising private companies, Elena Robles has been responsible for different legal projects in real estate, farming and livestock, energy, IT and telecommunication industries.

Ms. Robles is member of the National Association of Corporate Lawyers in México City (ANADE México, City).

Prior to joining Cuesta Campos Elena Robles worked as General Counsel of an important company in Guadalajara where she played key roles in real estate, franchising, construction and food and beverage industries.  Moreover, the American Bar Association invited her to join an important full service firm in San Diego, California as part of the international tax-planning group in order to represent and assist Mexican clients doing business and having investment in United States.

Representative Matters
  1. Representation of a Japanese specialist in IT services and solution provider positioned in 49 countries around the world in structuring their business operations in Mexico including tax and corporate structure, legal risk administration, compliance of governmental regulations, employment structure and data protection.
  2. Represented an important Japanese company involved in the design a, manufacture and distribution of medical and wellness products, with an important acquisition of its distributor in Mexico including the performing of due diligence, structuring, negotiating and drafting documents and closing the transaction.
  3. Has represented an international supplier of innovative traffic solution, headquartered in Vienna Austria and with operations in 41 countries, with the acquisition process of a Mexican company and the structuring of full compliance of Mexican regulations including an extensive due diligence and design of internal policies to comply with anticorruption regulations in Mexico. Additionally has constantly assisted this company with its operations in Mexico that involves important agreements with federal governmental authorities and private companies subcontracting them.
  4. Participation in relevant negotiation process with the acquisition Intellectual Property assets of a company based in the U.S. involved in the marketing and distribution of Tequila and other liquors products and coordination with Intellectual Property area, to close the transaction that involved some specialized contracts and documents related to specific compliance of produce and exportation of tequila in Mexico.
  5. Representation of financial institutions in restructuring credit facilities guaranteed in Mexico including negotiation and due diligence of assets involving these transactions.
  6. Advise foreign entities and individuals regarding their Mexican corporate and business law, including a tax perspective of operations in Mexico.
  7. Due diligence and negotiation of stock purchase and asset agreements and negotiation for the incorporation of joint ventures and business associations.
  8. Advise in structuring new business entities such as limited liability companies and corporations in order to comply with business purposes in Mexico.
  9. Assistance to U.S. investors for their acquisitions and development projects in Mexico.
