Experience

Miguel Romero joined Cuesta Campos in 2010. He has focused his practice in corporate law, financing, foreign trade and tax matters.

Since 2002 he has advised corporations in a wide range of contracts and transactions, as well as individuals, including estate planning.

His real estate experience includes industrial, residential, commercial and tourism properties and developments. He has been involved in real estate, trusts, easements, sale/leasebacks, title insurance and condominium structuring transactions.

Before joining Cuesta Campos, he worked at a prestigious law firm specialized in commercial, financial and civil transactions, real state and corporate advice. Such experience made him knowledgeable on diverse corporate transactions, notary public services (Notaría Pública) and issuance of public deeds, as well as the supervision and coordination of procedures before local and federal authorities, including the Public Registry of Commerce and Property, and registration of liens to secure the creditor’s priority before third parties.

Additionally, he worked at an international leading banking institution where he participated in the preparation and negotiation of diverse security interest strategies. These included mortgages, pledges and guarantee trusts.

Mr. Romero worked at the Mexican tax department (Secretaría de Hacienda y Crédito Público) as a fiscal attorney dedicated to litigate fiscal trials to defend the government interests.

Representative Matters
  1. Legal advice on diverse security interest structures, including pledge, mortgages, guarantee trusts for major loan transactions by financing entities and banks;
  2. Due diligence and purchase transactions for the acquisition of residential properties in Mexico.
  3. Successfully represented the interest of individuals as well as national and transnational companies in connection to industrial, residential, commercial and tourism properties and developments. He has been involved in real estate, trusts, easements, sale/leasebacks, title insurance and condominium structuring transactions.
  4. Represent and advice several Financing entities, banks and companies on diverse security interest structures, including pledge, mortgages, guarantee trusts for major loan transactions.
  5. Litigate in several Federal Fiscal Trials at the Mexican tax department (Secretaría de Hacienda y Crédito Público) as a fiscal attorney to defend the government interests.
  6. Advise to multinational and Mexican companies on treatments for Federal and Local Taxes applicable to the transactions.
