Rafael Sánchez


Rafael Sanchez joined Cuesta Campos in October 2009. His practice has been focused on corporate law, mergers and acquisitions, foreign trade and tax law. He has also been involved with research works regarding tax law, maquila and foreign trade programs, and JVs.

In the foreign trade field, his experience includes procedures of verification of origin, tariff classification, and non-tariff regulations. In corporate matters, he provides assistance in the incorporation of companies, compliance of corporate, contractual and administrative obligations, as well as the review and preparation of agreements, and corporate by-laws.

Prior to joining Cuesta Campos, he was involved with civil and commercial litigation, non-contractual obligations compliance, constitutional review, and notary public law.

  1. Legal opinions on compliance with Mexican regulations in connection to foreign trade, consumers’ protection, and tax matters.
  2. Legal consulting on tariff classification and rules of origin.
  3. Representation of companies in origin inspection procedures conducted by Mexican Revenue Agency.
  4. Analysis of tax effects on commercial transactions and corporate strategies.
  5. Negotiation with authorities and assistance in compliance with tax and administrative obligations.
  6. Expats structures and analysis, under tax, labor and immigration perspective, for domestic projects.

Corporate and Contractual law:

  1. Negotiation with contracting parties and preparation of documents in mergers and acquisitions of entities and assets.
  2. Preventative and transactional due diligences.
  3. Sells and acquisitions of properties, incorporation and extinguishment of trusts.
  4. Incorporations of Mexican companies and preparation of legal corporate documents.
  5. Dissolution and liquidation of entities.
  6. Joint Venture projects.
  7. Legal consulting on projects of sale, distribution and rendering of services.
