Romina Fernández


Romina's practice is focused on mergers and acquisitions, banking and finance and real estate transactions. Other areas of expertise include foreign investment and corporate governance.

She has participated in transactional operations, in due diligence processes and in the development and financing of infrastructure projects.

Romina has also collaborated in the viability of loan restructures, joint ventures, in the financing process for Mexican corporations and in the incorporation and acquisition of national and multinational companies in the industrial, commercial and service sector.

Before joining Cuesta Campos, Romina worked for over eight years in a prestigious law firm specialized in corporate law. She also worked for one year on public brokerage services in a public notary.

Representative Matters
  1. Implementation of all types of partnership agreements, joint ventures, shareholder agreements and other documents related with foreign investments in Mexican companies, and the establishment of Mexican branches.
  2. Representation in several purchase and sale of assets transactions; corporate financings, corporate reorganizations and credit restructures.
  3. Legal advice in the process of refinancing loans granted by development banks to companies in the automotive sector, where certain guarantees were released to re-create guarantees for the new financing.
  4. Legal advice in the negotiation of a complex structured loan, for a project of medium density fiberboard and resins.
  5. Audit and representation of a leading company in the wireless communication and signal transmission industry, for the acquisition of a significant number of telecommunication towers.
  6. Development of a toll road Public Trust. In specific, she participated in advising certain operations regarding the Concession granted by the Ministry of Communications and Transport, the Technical Committee and some public bids. Likewise, she also collaborated preparing the amendment agreements of the Trust Agreement, public work agreements, settlements, among others.
  7. Collaboration in purchases, sells or leases of real estate for convenience stores and self-service stores of one of the leading supermarkets chains in Mexico.
