Contracts

Our contract law practice includes legal counsel to structure transactions and to set them in writing based on the business needs of our clients. We work closely with other practice areas, such as tax attorneys, depending on the level of sophistication, scope and implications of the transaction.

Our services include the drafting and negotiation of domestic and international agreements and contracts in both civil and commercial matters, as well as the review and amendment of documents according to our client’s needs and interests.

We represent clients in a variety of ordinary business transactions such as: credit agreements, distribution agreements, licensing agreements, manufacturing agreements, service agreements and supplier agreements. We have also successfully advised multinational companies in the area of contracts for the acquisition and sale of the businesses (i.e. stock and asset purchase agreements, mergers and joint ventures in a number of industrial and business sectors).

Our contract law practice consists of advisement throughout all stages of negotiation. This includes drafting letters of intent, memorandums of understanding and preliminary agreements, up until the final agreement and post-closing matters.

In addition, we provide parallel counsel in related matters, such as the following:

  • Analysis of the transaction's tax consequences of the transactions and the obligations of each party pursuant to the agreement and applicable law;
  • Posting of payment guarantees and drafting of the respective documents including letters of credit, corporate backing and personal cosigners, as well as bonds, pledges and mortgages;
  • Drafting special clauses or agreements as well as arbitration agreements to establish binding dispute resolution alternatives;
  • Drafting and negotiation of all kinds of trust agreements, particularly real estate trusts, management trusts and guaranty trusts, among others;
  • Analysis and support to obtain authorizations, permits and licenses as required by the contract, including those necessary to import and export products and equipment;
  • Analysis and support of inter-company transactions, along with the drafting of respective agreements. These include loan agreements, Maquila manufacturing arrangements and liability agreements;
  • Due diligence to track compliance with contractual obligations;
  • Notices and negotiations with the Federal Competition Commission according to each agreement’s antitrust impact, including the potential effects of concentrations as well as absolute and relative monopolies;
  • Drafting and resolution of shareholder and joint venture agreements;
  • Official filings to obtain the authorization for certain contracts such as adhesion agreements with the consumer protection authorities.
