Corporate and Real Estate:

Jesús Bueno is an associate in Corporate and Real Estate Law matters. He has focused his practice advising all kind of companies, national and foreign, in their corporate and day-to-day operations in Mexico and worldwide, as well in the dealings among its shareholders. Mr. Bueno has experience in the implementation and advice of internal strategies; organization and structuring of corporate groups “holding companies”, incorporation of companies and/or Group of companies, and preparation of all sort Shareholders’ Meetings, Board of Directors and Committee Meetings. He also has expertise in the registration, regularization and maintenance of all obligations before the Foreign Investments Law and its Rulings and, in general, advising companies and individuals in all matters of Commercial and Contractual Law.

M&A and Banking and Finance:

Mr. Bueno has vast experience advising in several M&A deals, agreements and contracts in connection with the purchase and sale of businesses, companies, assets, shares, equity interests, among other financial agreements and transactions. Troughoust his career, he has advised clients in Joint Ventures, Due Diligences in connection with the purchase and sale of companies, procedures before the Antitrust Commission, investment and structuring strategies in connection with the acquisition/mergers/spin-offs of companies and the negotiation and documentation of credits and loans transactions, local or international and cross-border.

Likewise, Mr. Bueno has experience in banking financing and structured financing, advising clients in terms of individual loans, as well as syndicated loans and project credits. Jesús represents national and international banking institutions, as well as other financial entities in the structuring and granting of loans and in the improvement of all types of guarantees on assets, as well as in their regulatory aspects.

  • Representation to a leading IT company on the legal projects of the company where the general counsel has requested our advice and assistance to design and plan the legal structure of various internal areas of the company, including the review of agreements which will be used with clients and suppliers, on the corporate, labor and real estate areas of the company.
  • Advise in the definition of our client’s legal strategies in Mexico, revision of several contracts, including the master warehouse service agreement, and the master contract for the equipment and machinery that are commercialized under the IMMEX program.
  • Advise in the viability of a renewal of a lease agreement of a relevant sale point for our client concerning the implications of the storage of materials and stock at an office space.
  • Advised a major worldwide manufacturing services company in a transnational restructure whereby three entities of the group in the USA were transferred to Mexico pursuant to a global tax strategy. Additionally, took part in the documentation and implementation of the global structure.
  • Participated in a major asset based syndicated lending transaction with a leading world class manufacturer of car seats, including systems and components. Where an American multinationalinvestment bank and financial services holding company acted as administrative agent, lead arranger and bookrunner. This transaction was complex as it involved a United States ABL revolving loan in two tranches with a European swingline loan. The security in Mexico involved equity, stock, assets, IP rights and receivables of approximately 15 subsidiaries.
  • Advised our client in the preparation and closing of Mexican Security documents in order to guarantee obligations under certain Amendment and Restated Loan and Security Agreement, between and recognized International Risk Corporation as Lender, and a premier global distributor of video game products and other affiliated entities as borrowers.
  • Advised in the preparation and closing of Mexican Security documents in order to guarantee all obligations under certain Second Amendment and Restated Loan and Security Agreement, between an American multinational investment bank and financial services holding company as Lender and Agent, and premier global distributor of video game products, and other affiliated entities as borrowers.
  • Advised as Mexican counsel to American multinational investment bank and financial services holding company on the implementation of a secured ABL Credit Agreement, acting said company as Administrative Agent, Collateral Agent, and Swingline Agent, and a recognized commercial printing and manufacturing company among other borrowers, as part of an acquisition transaction of a global premium label solutions company. The Mexican Security Documents included Floating Lien Pledge Agreements by Mexican affiliates of borrowers as guarantors and participated in the review of the ABL Credit Agreement which involved security parties of at least 8 other jurisdictions.
  • Advised a major worldwide manufacturing services company in the negotiation with one of the most recognized energy suppliers in Mexico; carrying out the corporate due diligence of contractor, draft of all legal support documents, including energy products purchase agreement, supply energy agreement, master agreement, in order to regulate the delivery and supply of thermal and electric energy for a minimum period of 17 years. Performed a research and analysis of the rates offered in the energy industry, achieving the negotiation of considerable discounts in favor of our client.
