We provide legal counsel on bank financing, structured financing, securitizations, and project finance, among other financial transactions such as fund management trusts, asset-based lending, control structures or security interests over bank accounts, and pledges, mortgages, corporates, and trust guarantees.
We represent both domestic and international banks, as well as other financial entities and companies, in the structuring and granting of loans and the secured of all types of collateral over assets, including their regulatory and compliance aspects.
We are involved in various types of debt and equity securities issuances. These offerings are carried out through public and private placements in Mexico and international markets (cross-border).
We advise both domestic and foreign banks in issuing legal opinions or memo related to the legal risks involved in granting loans, as well as in the negotiation and execution of contracts.
We advise various financial market participants on regulatory compliance with supervisory authorities, including the National Banking and Securities Commission (CNBV), the National Commission for the Protection and Defense of Financial Services Users (CONDUSEF), the Central Bank of Mexico (Banxico), and the Ministry of Finance and Public Credit (SHCP).
